In a major boost for Africa’s energy and capital markets, Dangote Petroleum Refinery and Petrochemicals FZE has completed a US$2.5 billion private equity placement, marking the continent’s largest publicly disclosed primary equity private placement to date.

The transaction drew 3.7 times oversubscription relative to its initial offer size, underscoring strong investor confidence in the refinery’s long‑term growth strategy. The capital raise which is Dangote Refinery’s first involving external investors broadens its shareholder base and strengthens its financial flexibility for future expansion.

Proceeds will fund the ongoing expansion of the refinery and petrochemical complex, enhancing Africa’s refining capacity and reducing reliance on imported fuels. The placement attracted a diverse mix of international and African institutional investors, including Africa Finance Corporation (AFC), India Infra Buildco, and the African Export‑Import Bank (Afreximbank), alongside sovereign investment vehicles and individual investors.

Aliko Dangote, President and Chief Executive of Dangote Industries Limited and Chairman of Dangote Refinery, described the deal as “a strategic step to deepen and institutionalize the enterprise’s shareholder base while raising capital to complement internal cash flows.” He emphasized that the move reinforces Dangote’s commitment to domestic refining and petrochemical development, strengthening Africa’s energy independence.

David Bird, Managing Director and CEO of Dangote Refinery, highlighted the “exceptional demand” as evidence of investor confidence in the company’s operational excellence and leadership.

With this milestone, Dangote Refinery is positioned to advance its long‑term expansion agenda, bolster Africa’s energy security, and create sustained value across the continent’s industrial landscape.
